1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Entvase Ltd.'s website, mobile apps, and related services (collectively, the "Platform"). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

2. Key Definitions

Organizer: A user who creates, lists, or manages an event on the Platform.
Attendee: A user who registers for or purchases access to an event.
Event: Any activity, online or in-person, listed by an Organizer.
Content: Text, images, videos, logos, and other material uploaded or provided on the Platform.

3. Eligibility & Accounts

You must be at least the age of majority in your jurisdiction and capable of forming a binding contract.
Provide accurate information and keep your account secure. You are responsible for activities under your account.
We may suspend or terminate accounts for breach of these Terms, suspected fraud, or unlawful use.

4. Use of the Platform

Do not misuse, interfere with, reverse engineer, or attempt unauthorized access to the Platform.
Comply with all applicable laws, venue rules, and third‑party terms (e.g., payment providers).
Prohibited events include those that promote violence, hate, illegal drugs, or intellectual property infringement.
Private events with manual verification: Organizers are solely responsible for verifying attendees and compliance with privacy laws.

5. Our Role

Entvase Ltd. provides a Platform that enables Organizers to create and manage events and Attendees to discover and purchase access. Unless expressly stated, we are not the organizer, seller, or producer of events, and we are not responsible for event quality, safety, legality, or compliance. Disputes and responsibilities relating to an event primarily lie between the Organizer and Attendees.

Tickets/passes are delivered digitally (including QR codes). Keep your QR code secure—anyone presenting it may gain entry.

Resale & Transfer: Allowed by default unless an Organizer disables it on the event. Organizers may enforce limits (e.g., max price at face value + fees, transfer cutoff times). If enabled, you may:

Transfer a ticket to another person up to 24 hours before the event start (unless the Organizer sets a different cutoff).
Resell a ticket at or below face value + applicable fees in compliance with local law and Organizer rules.

Organizers may require ID or name matching at entry. Where name matching is enforced, the holder must complete a permitted transfer in the Platform before the cutoff.

Counterfeit, altered, or duplicated codes are invalid. We may invalidate tickets suspected of fraud or abuse (including scalping or bots).

Platform/service fees and payment processing fees may apply and are disclosed at checkout.

Chargebacks: If a chargeback occurs, we may deduct the amount and applicable fees from the Organizer’s payout.

7. Payments & Payouts

Payments are processed by third‑party providers (e.g., Stripe). You authorize charges to your payment method and consent to the processor’s terms. Organizer payouts are typically initiated within 5 business days after an event ends, subject to holds for refunds, disputes, fraud checks, or legal obligations.

8. Refunds, Cancellations & Event Changes

Organizer sets the refund policy (minimum standard: full refund if the event is canceled or materially changes).
Unless the Organizer states otherwise, Attendees may request a refund within 7 days of purchase and at least 24 hours before the event start.
Force majeure (e.g., severe weather, public health orders) may permit rescheduling or credits instead of refunds, subject to applicable law.
Refunds are issued to the original payment method when feasible; processing times depend on the payment provider.

9. User Content & Intellectual Property

You retain rights to your Content. You grant Entvase Ltd. a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, and display your Content for operating and improving the Platform and promoting your events.
You represent that you have all rights and permissions to upload and use the Content.
We may remove Content that we reasonably believe violates these Terms or the rights of others.

10. Privacy & Data Protection

We process personal data as described in our Privacy Policy. For EU/EEA residents, we act as a controller for Platform accounts and as a processor when we process Attendee data on behalf of Organizers. 11. US State Privacy (CCPA/CPRA)

For California residents, we provide disclosures and choices consistent with the CCPA/CPRA. We do not sell personal information as defined by applicable law. Manage cookie and targeting preferences in your account or cookie settings.

12. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the extent permitted by law, Entvase Ltd. disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee uninterrupted or error‑free operation, or that events will meet your expectations.

13. Limitation of Liability

To the maximum extent permitted by law, Entvase Ltd. and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill. Our aggregate liability for all claims relating to the Platform will not exceed the greater of (a) the amounts you paid to us in the 12 months preceding the claim or (b) €100.

14. Indemnification

You agree to defend, indemnify, and hold harmless Entvase Ltd. from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of your events, Content, violation of these Terms, or infringement of any rights of a third party.

15. Suspension & Termination

We may suspend or terminate access to the Platform at any time if we believe you have violated these Terms or applicable law, or to protect other users or the Platform. You may stop using the Platform at any time. Sections intended to survive termination will do so (e.g., payments, refunds, IP, disclaimers, liability, indemnity, dispute resolution).

16. Governing Law & Dispute Resolution

These Terms and any disputes are governed by German law (excluding conflict-of-law rules). Exclusive venue and jurisdiction are the courts located in Erlangen, Germany. Mandatory consumer protection rules of your habitual residence still apply if required by law.

17. Third‑Party Services

The Platform may link to third‑party websites or integrate third‑party services (e.g., payment processing, video streaming). We are not responsible for such third parties. Your use of them may be subject to separate terms and privacy policies.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date and, where required, we will notify you. Continued use of the Platform after changes take effect constitutes acceptance.
